RECHESS END USER LICENSE AGREEMENT

This End User License Agreement (“Agreement”) is between you (“End User”) and Saud Fnaisan (“Developer”) only, and not with Apple Inc. (“Apple”). Developer, not Apple, is solely responsible for ReChess (“Licensed Application”) and its content.

1. SCOPE OF LICENSE

Subject to this Agreement, Developer grants you a non-transferable license to use the Licensed Application on Apple-branded products that you own or control, as permitted by the Usage Rules set forth in the Apple Media Services Terms and Conditions. The Licensed Application may also be accessed and used by other accounts associated with the purchaser through Family Sharing or volume purchasing where permitted by Apple.

Except for Open Source Components described below, no rights are granted except those expressly provided by this Agreement.

2. OPEN SOURCE COMPONENTS — STOCKFISH

ReChess includes Stockfish, free and open-source chess software licensed under the GNU General Public License, version 3 (“GPLv3”).

Stockfish and the ReChess Stockfish host component are distributed under GPLv3. They are not subject to any provision of this Agreement that would restrict rights granted by GPLv3.

Nothing in this Agreement limits, replaces, adds restrictions to, or otherwise interferes with your rights under GPLv3 with respect to those components. In the event of any conflict between this Agreement and GPLv3 concerning a GPL-licensed component, GPLv3 controls with respect to that component.

ReChess provides the applicable copyright notices, GPLv3 license text, and information for obtaining the corresponding source code within the Licensed Application under Open Source Licences.

The proprietary portions of ReChess are not licensed under GPLv3 merely because ReChess includes or communicates with Stockfish.

3. MAINTENANCE AND SUPPORT

Developer, and not Apple, is solely responsible for providing maintenance and support services for the Licensed Application as required by applicable law.

4. WARRANTY

To the maximum extent permitted by applicable law, the Licensed Application is provided “as is” and “as available,” without warranties of any kind except those that cannot lawfully be excluded.

If the Licensed Application fails to conform to any applicable warranty, you may notify Apple, and Apple may refund the purchase price, if any, paid for the Licensed Application as provided by Apple’s applicable terms. To the maximum extent permitted by applicable law, Apple has no other warranty obligation with respect to the Licensed Application. Developer is responsible for any other claims, losses, liabilities, damages, costs, or expenses attributable to a failure to conform to any warranty to the extent required by applicable law.

Nothing in this section limits rights or warranties that cannot be excluded under applicable consumer protection law.

5. PRODUCT CLAIMS

Developer, and not Apple, is responsible for addressing claims by you or any third party relating to the Licensed Application or your possession or use of it, including product liability claims, claims that the Licensed Application fails to conform to applicable legal or regulatory requirements, and claims arising under consumer protection, privacy, or similar legislation, to the extent required by applicable law.

6. INTELLECTUAL PROPERTY RIGHTS

In the event of a third-party claim that the Licensed Application or your possession and use of it infringes that third party’s intellectual property rights, Developer, and not Apple, will be responsible for the investigation, defense, settlement, and discharge of such claim.

Rights in Open Source Components remain governed by their respective open-source licenses, including GPLv3 for Stockfish and the applicable ReChess Stockfish host component.

7. LEGAL COMPLIANCE

You represent and warrant that you are not located in a country or region subject to a United States Government embargo or designated by the United States Government as a “terrorist supporting” country, and that you are not listed on any United States Government list of prohibited or restricted parties.

8. THIRD-PARTY TERMS

You must comply with applicable third-party terms when using the Licensed Application.

Open Source Components included in ReChess remain subject to their applicable open-source licenses.

10. THIRD-PARTY BENEFICIARY

You and Developer acknowledge and agree that Apple and Apple’s subsidiaries are third-party beneficiaries of this Agreement. Upon your acceptance of this Agreement, Apple will have the right, and will be deemed to have accepted the right, to enforce this Agreement against you as a third-party beneficiary.

11. APPLICABLE LAW AND CONSUMER RIGHTS

This Agreement does not exclude, restrict, or modify any rights or remedies that cannot lawfully be excluded, restricted, or modified under the laws applicable to you.

Any provision of this Agreement that conflicts with mandatory applicable law will apply only to the maximum extent permitted by that law.

12. ENTIRE AGREEMENT AND OPEN SOURCE PRIORITY

This Agreement governs your use of the proprietary portions of ReChess.

Open Source Components included with ReChess are separately licensed under their respective open-source licenses. Where an open-source license grants rights that differ from or exceed the rights granted by this Agreement, the open-source license governs that component.

For Stockfish and the applicable ReChess Stockfish host component, GPLv3 governs those components.
